Customer Registration Terms and Conditions

The customer registration terms and conditions (“T&Cs“) contain the complete terms and conditions that govern your relationship with LOTS Wholesale Solutions (CP Wholesale India Pvt. Ltd.) (hereinafter referred as “LWS“), for the purpose of your access to / purchase of products from LWS store (“Store“). The T&Cs shall be effective from the date of execution of the T&C by you.

By accessing / making purchases from the Store, you shall deemed to be making an afﬁrmative statement of your acceptance of below mentioned terms of T&Cs:

You acknowledge and conﬁrm that the products being purchased by you from the Store are only for resale, trade, commercial, professional, institutional and/or industrial use and not for personal consumption and you have all the necessary permits, licenses, certiﬁcations etc. as required under applicable laws for sale and purchase of all such products. Accordingly, you may only register with LWS provided you intend to purchase and use the products for the said purpose only and not for any personal use, except as provided under law.

To become a member of LWS, you shall be required to present either of following document(s) evidencing (i) applicable tax registration or (ii) trade licenses i.e. a license/registration certificate/membership certificate/registration under Shops and Establishment Act, issued by a Government Authority/Government Body/Local Self-Government Authority, reflecting that you hold the license/ registration certificate/ membership certificate, as the case may be, and are engaged in a business involving commercial activity; or (iii) permits/license etc. for undertaking retail trade from Government Authorities/Local Self Government Bodies; or (iv) are an institution having certificate of incorporation or registration as a society or registration as public trust. Additionally, you shall be required to submit a copy of valid permanent account number card (PAN Card) issued as per Income Tax Act, 1961 (in the absence of PAN – declaration in Form 60) and such other supporting documents as requested.

You shall be responsible to ensure that the documents provided by you are valid and subsisting during the entire engagement with LWS as registered member. You hereby acknowledge and certify that the documents provided by you are authentic, true and accurate. In case of any misrepresentation, you shall be solely liable and responsible and LWS may take action as per applicable laws, including termination of your membership. Upon receipt of any of the above mentioned documents and completion of veriﬁcation thereof, LWS shall issue a valid registration card for you at its sole discretion (“Registration Card“).

For registered members applying for add on cards: You acknowledge that only 1 additional card shall be issued to your authorised representatives for making purchases on your behalf. You agree and undertake to provide accurate information and valid legal documents including but not limited to, an authorisation letter/board resolution, for such additional member (“Add on Members”) as may be required by LWS under this form and also from time to time. Upon due verification of documents, LWS shall issue an additional card to your authorized representative at its sole discretion.

You acknowledge and agree that your authorised representative (registered with LWS) only shall be permitted to enter the Store. Each time your authorised representative visits a Store, such representative shall carry the Registration Card, in absence of which, entry to Store shall be barred. Only one person shall be allowed to accompany the authorised representative to the Store.

The sale price indicated in respect of the products are inclusive of local taxes. You agree to pay applicable taxes in case of any change in the tax rate leading to change of sale price. LWS shall charge taxes basis the address mentioned on GST registration certiﬁcate/ address provided by you at time of registration. LWS shall be entitled to recover any liability arising on account of any wrong declaration by you.

Except otherwise provided, you shall be responsible for movement of products to the address mentioned on the invoice along with complete documents including e-way bills. Upon your request, LWS may at its sole discretion provide support/ documentation for movement of such products.

LWS shall not accept any payment in cash exceeding INR 195,000 per day for a transaction, or in its account. In case of breach such amount shall be forfeited by LWS without any prior intimation.

LWS reserves the right to reject a membership application without assigning any reason(s) either to an entity/person or any of its authorised representative.

You agree not to make purchases from Store for personal use, except for members registered under para. 2(iv) above. You acknowledge and agree that in case it comes to the notice of LWS that purchases from Store are made for personal use, LWS shall have the right to terminate your registration forthwith.

The Registration Card is the sole property of LWS. In case of termination of this T&Cs you shall be required to return the same. You shall immediately notify LWS in case of: (a) loss of the Registration Card; or (b) change of your authorised representative; (c) winding up of your business; or (d) change of ownership of your business; or (e) expiry of documents provided per para. 2 above for registration.

LWS reserves right to admission. LWS reserves the right to restrict the entry of children below the age of 8 (eight) years on account of safety and security reasons. In case you bring any person below 18 (eighteen) years of age to the Store, the same shall be at your sole responsibility and LWS shall not be responsible or liable for any consequences including but not limited to any accident, injury or hurt caused as a result thereof.

The Store may, from time to time, set up minimum invoice limits, you agree to abide by the same. You agree that prices of the products are subject to change without any prior intimation.

Terms and Conditions for LOTS Privilege Club

All members registered (including Add-On Cards) with CP Wholesale India Private Limited (“LOTS“) carrying a valid registration card (“Eligible Member”) shall be eligible to apply for a membership of LOTS Privilege Club and shall be issued a LOTS Privilege Club Card (“Card”) to avail the offers and benefits provided thereunder by shopping from any of our LOTS Wholesale Solutions Stores (“LOTS Stores”), subject to the discretion of LOTS. Registered members of LOTS shall be eligible to participate and enrol to become a member of the LOTS Privilege Club upon payment of a fixed membership fee (“Fee”) amounting to INR 1499/- (Rupees One Thousand Four Hundred and Ninety-Nine Only) (inclusive of all taxes) (“LOTS Privilege Club Cardholder”) subject to following terms and conditions.

Definitions

For the purpose of these terms and conditions (“Terms and Conditions“):

(i) “Membership Period” shall mean a period of 90 (Ninety) days commencing from date of activation of the LOTS Privilege Club Card. Eg. if the card is activated on 1^st March 2023, the Membership Period shall be valid for 1st March 2023 to 29^th May 2023 (both days inclusive)

(ii) “Purchase” shall mean such purchase of items made by LOTS Privilege Club Cardholders from LOTS Stores during the Membership Period only and/or as may be intimated by LOTS from time to time during the Membership Period.

(iii) “Cashback Points” shall mean points earned on transactions which shall be credited to the LOTS Privilege Club Cardholder’s membership account as per the offer criteria. The value of the 1 Cashback Point = Re. 1 (Rupee one only).

Terms and Conditions

This is an exclusive offer. You can express interest to become a member of LOTS Privilege Club upon fulfilling the following terms and conditions.
The Eligible Members who wish to use the benefits under this offer shall pay a non-refundable membership fee of INR 1499/- (Rupees One Thousand Four Hundred and Ninety-Nine Only) (inclusive of all applicable taxes) to become a LOTS Privilege Club Cardholder. The LOTS Privilege Club Card shall be non- transferable.
LOTS Privilege Club Cardholder intending to avail the benefits under the Card is required to carry the physical Card to the LOTS Store in order to avail the eligible benefits. In case the member fails to present the physical LOTS Privilege Club Card, the member shall not be eligible to avail the benefits under the Card.
The Card shall be valid for a period of 90 (Ninety) days from the date of activation of the Card. LOTS Privilege Club Card shall be valid only during the Membership Period as defined above and the benefits under the Card shall seize after the expiry of the Card.

The following benefits and offers can be availed by the LOTS Privilege Club Members and Cardholders:

a. One-time instant discount voucher: Each LOTS Privilege Club Cardholder shall receive one instant discount voucher worth INR 499/- (Rupees Four Hundred and Ninety-Nine Only). The voucher can be used only once during the Membership Period. The voucher shall be valid for a limited period only as may be mentioned on the voucher coupon. The voucher can be redeemed against shopping at LOTS Store on a minimum purchase value of INR 500/- (Rupees Five Hundred Only) (inclusive of all applicable taxes). This offer cannot be clubbed with any other voucher/discount coupon running at LOTS Stores and cannot be exchange for cash or credit. Terms and conditions mentioned on the voucher shall apply.

b. During the Membership Period the LOTS Privilege Club Cardholders shall be eligible for receiving Cashback Points and certain privileged benefits/coupons:

Cashback Points: LOTS Privilege Club Cardholders shall be eligible to receive Cashback Points on the total invoice value (exclusive of all taxes) each month for shopping from the eligible product categories as listed below-

To qualify for the Cashback Points, LOTS Privilege Club Cardholders must transact during the Membership Period from LOTS Stores only. For earning Cashback Points, the LOTS Privilege Club Cardholders need to make purchase of the items under Eligible Product Categories as provided in Table – A and/or as may be intimated by LOTS from time to time at its sole discretion, with a minimum purchase value (“Minimum Purchase”) of INR 500/- (Rupees Five Hundred Only) (inclusive of all applicable taxes).

LOTS Privilege Club Cardholders can accumulate a maximum Cashback Points of INR 1000/- (Rupees One ThousandOnly) each month during the Membership Period. The Cashback Points will be calculated on pro rata basis on previous months’ spending during the card’s active period.

The Cashback Points will be credited after the return or refund period of the items purchased is over and latest by 10^th of the next month in the member’s account for the shopping/purchases made until 30^th/31^st of the previous month during the Membership Period or until the date of expiry of the Membership Period, as applicable. LOTS Privilege Club Cardholders shall accordingly receive a WhatsApp or text message on their registered number notifying about the Cashback Points once the same is credited in their account. Once the Cashback Points are credited, the Purchase cannot be returned or refunded.

The Cashback Points may be redeemed by the LOTS Privilege Club Cardholder on the next purchase/shopping from LOTS Stores. The Cashback Points can only be used as ‘discount’ on the next purchase and cannot be exchanged for cash. The Cashback Points can be redeemed even after the expiry of the Membership Period and up to a period of 180 (One Hundred and Eighty) days from the date of expiry of the Membership Period. After the expiry of the 180 (One Hundred and Eighty) day period, the Cashback Points will automatically expire and LOTS shall not be liable for any direct or indirect loss/damage arising out of it.

LOTS Privilege Club Cardholders hereby agree and acknowledge that no Cashback Points shall be credited on the excluded items mentioned under Table A.

No return or exchange of items shall be entertained post credit of Cashback Points in your account.

Privilege Coupons: In addition to the above benefits, the LOTS Privilege Club Cardholders shall also receive adhoc offers and benefits in the form of Privilege Coupon available at the LOTS Stores. Privilege Coupons contain attractive additional discounts, vouchers, coupons, deals and benefits for LOTS Privilege Club Cardholders. The Privilege Coupons shall only be available to LOTS Privilege Club Cardholders only. The details and specific terms and conditions applicable on Privilege Coupons shall be available at LOTS Stores.

In case of loss or damage of card, a new card shall be issued upon request and upon payment of a fee of INR 100/- (Rupees Hundred Only), plus applicable taxes, to LOTS. After receipt of payment, a new LOTS Privilege Club Card shall be issued.

1. In case of partial/ full return or exchange of item, LOTS refund and exchange policy shall be applicable.
1. By participating in the offer, the LOTS Privilege Club Cardholders agree to provide accurate and complete information about themselves. We will use this information to administer the program and communicate with customers about their cashback points.
1. Upon expiry of validity period of the Card, the LOTS Privilege Club Card shall stand expired and will remain invalid. In case an Eligible Member wishes to continue to receive the privileges and avail benefits as available under the previous Card, a fresh Card can be issued upon payment of a non-refundable membership fee of INR 1499/- (Rupees One Thousand Four Hundred and Ninety-Nine Only)(inclusive of all applicable taxes) by such Eligible Member. The fresh Card shall be valid for a period of 90 (Ninety) days from the date of activation of such Card.
1. The Cashback points (if any) accrued on the previous Card after the expiry of the Membership Period cannot be transferred or linked with the fresh Card. The Eligible Member may avail the benefits accrued on his/her previous (expired) card within the aforementioned timeline as stated under Para V (iv).

1. LOTS reserves the right to terminate this Offer or modify/change all or any of the terms applicable to this Offer at any time without any prior notice and shall not be held liable/ responsible in this regard.
1. Participation in the Offer by the Cardholder will be construed as acceptance of the Terms & Conditions of the Offer and Cardholder is advised not to participate in the Offer if such Terms & Conditions are not acceptable.
1. These Terms and conditions are valid unless the Membership is terminated by LOTS. LOTS can terminate or suspend your benefits or membership without assigning any reason if (i) the documents provided are found to be false, incorrect or untrue (ii) LOTS determines that you have clearly, seriously or repeatedly breached LOTS’ policies: (iii) if you have initiated or threatened to initiate any legal suit/complaint whether civil or criminal against LOTS; (iv) if LOTS determines that you are prospective competitor of LOTS or have violated intellectual property rights of LOTS (v) if LOTS determines that you have attempted to or actually interrupted or negatively impacted the market of LOTS (vi) if you have committed or threatened to commit any act punishable under law or (vii) for any other reason as LOTS may determine at its sole discretion. Any loss of business suffered by you due to termination, will be your sole responsibility and cost. Termination by LOTS shall not require any prior notice and/or refund.
1. This LOTS Privilege Club Card belongs exclusively to the registered member whose name and details are printed on the face of the card. This LOTS Privilege Club Card is not transferrable to any other Member but can be used by the Add On cards linked to the Primary card holder’s account. The usage of this LOTS Club Card is purely voluntary.
1. In all matters relating to this Offer, the decision of LOTS shall be final and binding.
1. This Offer shall be governed by and construed in accordance with the applicable laws in India and the relevant State laws applicable to the specific LOTS store where purchases are made by the Member in accordance with these terms and conditions, as may be amended/modified from time to time. All matters with respect to the offers are subject to the jurisdiction of the courts at New Delhi only. LOTS reserves the right to modify, suspend or discontinue any offer at any time without prior notice. LOTS shall not be liable for any direct or indirect loss/damage arising out of any such change, modification, alteration, postponement or cancellation thereof.
1. This Offer is subject to force majeure circumstances i.e. act of God or any circumstance beyond the reasonable control of LOTS’ management. In case of force majeure conditions, no liability of whatsoever nature shall fall upon LOTS with respect to the Offer.

All members registered (including Add-On Cards) with CP Wholesale India Private Limited (“LOTS“) carrying a valid registration card (“Eligible Member”) and who is not Members of the existing LOTS Privilege Club shall be eligible to apply for a membership of LOTS Privilege Lite and shall be issued a LOTS Privilege Lite Card (“Card”) to avail the offers and benefits provided thereunder by shopping from any of our LOTS Wholesale Solutions Stores (“LOTSStores”), subject to the discretion of LOTS. Registered members of LOTS shall be eligible to participate and enrol to become a member of the LOTS Privilege Lite upon payment of a fixed membership fee (“Fee”) amounting to INR 799/- (Rupees Seven Hundred and Ninety-Nine Only) (inclusive of all taxes) (“LOTS Privilege Lite Cardholder”) subject to following terms and conditions:

All members registered (including Add-On Cards) with CP Wholesale India Private Limited (“LOTS“) carrying a valid registration card (“Eligible Member”) and who is not Members of the existing LOTS Privilege Cards (Club Card & Lite Card with 3 month validity period) shall be eligible to apply for a membership of LOTS Privilege Lite 6 months’ validity Card and shall be issued a LOTS Privilege Lite 6 months validity Card (“Card”) to avail the offers and benefits provided thereunder by shopping from any of our LOTS Wholesale Solutions Stores (“LOTSStores”), subject to the discretion of LOTS. Registered members of LOTS shall be eligible to participate and enrol to become a member of the LOTS Privilege Lite 6 months’ validity card upon payment of a fixed membership fee (“Fee”) amounting to INR 1450 /- (Rupees One Thousand Four Hundred and Fifty Only) (inclusive of all taxes) (“LOTS Privilege Lite 6 months’ validity Cardholder”) subject to following terms and conditions:

Definitions For the purpose of these terms and conditions (“Terms and Conditions“):
1. “Membership Period” shall mean a period of 180 (One – Eighty) days commencing from date of purchase of the LOTS Privilege Lite 6 months’ validity Card. Eg. if the card is purchased on 15^thApril, 2024, the Membership Period shall be valid from 15^thApril, 2024 to 11^th October, 2024 (both days inclusive) .
2. “Purchase” shall mean such purchase of items made by LOTS Privilege Lite 6 months’ validity Cardholders from LOTS Stores during the Membership Period only and/or as may be intimated by LOTS from time to time during the Membership Period.
3. “Cashback Points” shall mean points earned on transactions which shall be credited to the LOTS Privilege Lite 6 months’ validity Cardholder’s membership account as per the offer criteria. The value of the 1 Cashback Point = Re. 1 (Rupee one only).

Terms and Conditions

This is an exclusive offer. You can express interest to become a member of LOTS Privilege Lite 6 months’ validity Card upon fulfilling the following terms and conditions.
The Eligible Members who wish to use the benefits under this offer shall pay a non-refundable membership fee of INR 1450 /- (Rupees One Thousand Four Hundred and Fifty Only) (inclusive of all applicable taxes) to become a LOTS Privilege Lite 6 months’ validity Cardholder. The LOTS Privilege Lite 6 months’ validity Card shall be non- transferable.
The Member who is already registered in LOTS Privilege Club Card and in LOTS Privilege Lite Card membership having 3 months’ validity period each shall not be eligible until the expiry of their existing card to apply for LOTS Privilege Lite 6 months’ validity
LOTS Privilege Lite 6 months’ validity Cardholder intending to avail the benefits under the Card is required to carry the physical Card to the LOTS Store in order to avail the eligible benefits. In case the member fails to present the physical LOTS Privilege Lite 6 months’ validity Card, the member shall not be eligible to avail the benefits under the Card.
The Card shall be valid for a period of 180 (One Hundred Eighty) days from the date of purchase of the Card. LOTS Privilege Lite 6 months’ validity Card shall be valid only during the Membership Period as defined above and the benefits under the Card shall seize after the expiry of the Card.

(vi) The following benefits and offers can be availed by the LOTS Privilege Lite 6 months’ validity Cardholders:

One-time instant discount voucher: Each LOTS Privilege Lite 6 months’ validity Cardholder shall receive one instant discount voucher worth INR 501/- (Rupees Five Hundred and One Only). The voucher can be used only once during the Membership Period. The voucher shall be valid for a limited period only as may be mentioned on the voucher coupon. The voucher can be redeemed against shopping at LOTS Store on a minimum purchase value of INR 501/- (Rupees Five Hundred and One Only) (inclusive of all applicable taxes). This offer cannot be clubbed with any other voucher/discount coupon running at LOTS Stores and cannot be exchanged for cash or credit. Terms and conditions mentioned on the voucher shall apply.

During the Membership Period the LOTS Privilege Lite 6 months’ validity Cardholders shall be eligible for receiving Cashback Points and certain privileged benefits/coupons:

1. Cashback Points: LOTS Privilege Lite 6 months’ validity Cardholders shall be eligible to receive Cashback Points on the total invoice value (exclusive of all taxes) each month for shopping from the eligible product categories as listed below-

To qualify for the Cashback Points, LOTS Privilege Lite 6 months’ validity Cardholders must transact during the Membership Period from LOTS Stores only. For earning Cashback Points, the LOTS Privilege Lite 6 months’ validity Cardholders need to make purchase of the items under Eligible Product Categories as provided in Table – A and/or as may be intimated by LOTS from time to time at its sole discretion, with a minimum purchase value (“Minimum Purchase”) of INR 500/- (Rupees Five Hundred Only) (inclusive of all applicable taxes).
LOTS Privilege Lite 6 months’ validity Cardholders can accumulate a maximum Cashback Points of INR 500/- (Rupees Five Hundred Only) each month during the Membership Period. The Cashback Points will be calculated on pro rata basis on previous months’ spending during the card’s active period.
The Cashback Points will be credited after the return or refund period of the items purchased is over and latest by 10^thof the next month in the member’s account for the shopping/purchases made until 30^th/31^stof the previous month during the Membership Period or until the date of expiry of the Membership Period, as applicable. LOTS Privilege Lite 6 months’ validity Cardholders shall accordingly receive a WhatsApp or text message on their registered number notifying about the Cashback Points once the same is credited in their account. Once the Cashback Points are credited, the Purchase cannot be returned or refunded.
The Cashback Points may be redeemed by the LOTS Privilege Lite 6 months’ validity Cardholder on the next purchase/shopping from LOTS Stores. The Cashback Points can only be used as ‘discount’ on the next purchase and cannot be exchanged for cash. The Cashback Points can be redeemedeven after the expiry of the Membership Period and up to a period of 180 (One Hundred and Eighty) days from the date of expiry of the Membership Period. After the expiry of the 180 (One Hundred and Eighty) day period, the Cashback Points will automatically expire and LOTS shall not be liable for any direct or indirect loss/damage arising out of it.
LOTS Privilege Lite 6 months’ validity Cardholders hereby agree and acknowledge that no Cashback Points shall be credited on the excluded items mentioned under Table A.
No return or exchange of items shall be entertained post credit of Cashback Points in your account.

Privilege Coupons: In addition to the above benefits, the LOTS Privilege Lite 6 months’ validity Cardholders shall also receive adhocoffers and benefits in the form of Privilege Coupon available at the LOTS Stores. Privilege Coupons contain attractive additional discounts, vouchers, coupons, deals and benefits for LOTS Privilege Lite 6 months’ validity Cardholders. The Privilege Coupons shall only be available to LOTS Privilege Lite 6 months’ validity Cardholders, LOTS Privilege Lite Cardholders & LOTS Privilege Club Cardholders only. The details and specific terms and conditions applicable on Privilege Coupons shall be available at LOTS Stores.

(viii) In case of partial/ full return or exchange of item, LOTS refund and exchange policy shall be applicable.

(ix) By participating in the offer, the LOTS Privilege Lite 6 months’ validity Cardholders agree to provide accurate and complete information about themselves. We will use this information to administer the program and communicate with customers about their cashback points.

(xiv) This LOTS Privilege Lite 6 months’ validity Card belongs exclusively to the registered member whose name and details are printed on the face of the card. This LOTS Privilege Lite 6 months’ validity Card is not transferrable to any other Member but can be used by the Add On cards linked to the Primary card holder’s account. The usage of this LOTS Privilege Lite 6 months’ validity Card is purely voluntary.

(xv) In all matters relating to this Offer, the decision of LOTS shall be final and binding.

(xviii) By participating in this Offer, LOTS Privilege Lite 6 months’ validity Cardholders shall be deemed to have accepted all the aforementioned terms and conditions.

Terms and Conditions for LOTS Campaign “Minimum 10%* off on MRP + Extra Discounts”

All members registered with CP Wholesale India Private Limited (“LOTS“) shall be eligible to avail the discount(s) offered in the campaign running at each of the stores of “LOTS Wholesale Solutions” (“Stores”). Under the campaign, LOTS is offering a minimum 10% discount on MRP on all Eligible Products, except Prohibited Items as enlisted in Annexure A(“Offer”). This offer is valid for purchased made at Stores, on the LOTS’ website https://www.lotswholesale.com/ (“Website”), LOTS mobile applications (“LOTS App“). LOTS BDA mobile application (“App“).

This Offer is valid on a purchase of minimum quantity of items as indicated/mentioned on the railcards displayed against each Eligible Product at Stores and on the landing page against the Eligible Products on the Website and the App, if you are placing your order online. Please note that the price mentioned on the railcard/mobile app/website shall be the final price including the 10% discount on MRP for the highest slab.

This Offer shall not be valid on Prohibited Items as mentioned in Annexure A.

LOTS reserves the right to include or remove any Eligible Product on which minimum discount of 10% is applicable, from time to time.

LOTS reserves the right to reject any claim made under the offers in the event LOTS observes any irregularity and/or has reason to believe that a Member has acted in a fraudulent manner and/or engaged in any deceitful/illegal activity and/or non-compliance/breach/contravention of the terms and conditions.

All taxes including income tax and gift tax, duties, levies or other statutory dues and charges including handling charges payable in connection with the offers which shall be borne solely by the Member and LOTS shall not be liable in any manner whatsoever for any such taxes, duties, levies or other statutory dues and charges including handling charges.

By accepting the terms and conditions of the offers, Member agrees to indemnify LOTS and all its associates including director(s), officers, employees and agents from any claim, prosecution, judgment, damage, loss (including attorney’s fee) or liability incurred related to its/his/her participation in the offers.

LOTS reserves the right to modify, suspend or discontinue any offer at any time without prior notice. LOTS shall not be liable for any direct or indirect loss/damage arising out of any such change, modification, alteration, postponement or cancellation thereof.

All decisions of LOTS’ management regarding conduct/process/results of the offers shall be final and binding on all Members.

By participating in the offers, Member confirms and waives the applicability of rules and regulations of National Do Not Call Registry and also agrees to receive promotional messages from LOTS per its discretion.

Member agrees that participating in any offer constitutes grant of permission to LOTS to click photographs of Member and use its/his/her name, photograph, voice and comments for advertising and promotional purposes in any media worldwide, without any additional benefit whatsoever to the Member.

All the offers are subject to force majeure circumstances i.e. act of God or any circumstance beyond the reasonable control of LOTS’ management. In case of force majeure conditions, no liability of whatsoever nature shall fall upon LOTS with respect to any of the offers.

Member hereby understands and gives its/his/her irrevocable consent for sharing / submitting its/his/her personal information with LOTS.

All the offers shall be governed by and construed in accordance with the applicable laws in India and the relevant State laws applicable to the specific LOTS store where purchases are made by the Member in accordance with these terms and conditions, as may be amended/modified from time to time. Terms & Conditions for Handling Fee

These Terms & Conditions govern the Handling Fee (“Fee“) for orders placed by Members through our website www.lotswholesale.com (“Website“), LOTS mobile application (“LOTS App”) or through Business Development Associates (BDA).

By placing an order through Website, LOTS App or BDA, you agree to the application of the Handling Fee in accordance with these Terms & Conditions. The Fee will be applied to all orders placed by Members through Website, LOTS App or BDA, including for orders selected for self-pickup by the Member from LOTS store. The Fee shall be visible in your invoice as well as the checkout page, if the order is being placed through the Website or the LOTS App.
You acknowledge and agree that the Fee is non-refundable and will be charged towards handling, processing and fulfilment of your orders. The Fee shall not be refunded if the order is cancelled/returned partially. If a Member cancels or returns the order in full, the Fee may be refunded as per Our sole discretion in certain limited cases.
You agree that the Fee may vary from order to order. Factors influencing the Fee include, but are not limited to, the type of product, the place of dispatch of the order and the time required to prepare the order for dispatch.
You acknowledge that the Fee is inclusive of all applicable taxes.
You agree that We reserve the right to modify the Fee, including the manner in which it is calculated, at any time without prior notice. These terms and conditions shall be governed by the laws of India and any dispute pursuant hereto shall be subject to exclusive jurisdiction of courts at New Delhi.

Terms and Conditions for Delivery

LOTS Wholesale Solutions (‘LOTS’) will deliver the Products only at the address provided by you at the time of registration with LOTS. The Products will be delivered till the ground floor of the registered address premises, or to the point where access to the vehicle is possible. LOTS will attempt to deliver your order in the fastest time possible.

Shipping is possible only for certain pin-codes, within the Delivery Zones as serviced by LOTS from time to time.

LOTS shall facilitate delivery of an order placed by you at selected delivery location falling under respective delivery zones.

You will verify the ordered and billed Products against the order delivered, in case of any damage or discrepancy in the order, you will bring the same to the notice of the delivery personnel and take acknowledgment for such discrepancy or damage from the delivery personnel. Subject to inspection, for prepaid orders, the refund amount against the accepted discrepancy or damaged Product shall be refunded back in the source account. In cases, wherein you have utilised the LOTS E – Wallet, the refund shall be credited back as ‘LOTS Credit’ in your LOTS E- wallet account.

Post shipment of the order, if it is observed that LOTS is unable to deliver your order due to the wrong or incomplete address provided, LOTS reserves the right to cancel the order. LOTS shall not be responsible for any delay in delivering the order placed by you on account of providing an incorrect or incomplete address. For prepaid orders, you will be refunded the order amount back to your source account, excluding the shipping charges and/or any other cost incurred by LOTS in this regard.

Products will generally be delivered when an authorized individual is available to receive the order at the address provided by you. If you request that the delivery be left unattended at your address, you agree that the Company shall not be held responsible for any liabilities arising from this arrangement. This includes, but is not limited to, risks of theft, tampering, contamination, or damage resulting from exposure to unsuitable temperatures for items requiring refrigeration or freezing.

If you choose to pay for the Products using the ‘Cash on Delivery (CoD)’ option, the Company reserves the right to withhold delivery if full payment is not made at the time of delivery. In such cases, the order will be deemed cancelled, and the Company shall not be liable for any losses or damages resulting from the non-delivery of the Products. The Company further reserves the right, at its sole discretion, to charge you a delivery fee or any other applicable fees associated with the cancelled order and recover the costs incurred for the delivery attempt.

While we strive to ensure that purchased Products are delivered to you in a timely manner and within the specified timeline, you acknowledge and accept that delays may occur due to the following reasons:

Logistical challenges beyond our control;
Adverse weather conditions;
Political disruptions, strikes, or employee lockouts;
Acts of nature such as floods, earthquakes, or other force majeure events;
Other unforeseen circumstances.

In case of delays, we will make reasonable efforts to notify you, however, we disclaim any liability for failure to inform or notify you of such delays. Additionally, we are not obligated to provide compensation for any claims arising from delays in shipment, delivery, or use of purchased Products on the LOTS platform.

We make every effort to engage logistics partners, employees, and agents who uphold high standards of ethics, professionalism, and courteous behavior. However, you acknowledge that the actions or inactions of delivery personnel are beyond our direct control, and we cannot monitor every individual delivery executive. Since we only facilitate the delivery of Products purchased by you, we are not liable for any acts or omissions of delivery personnel or logistics partners, including but not limited to:

Deficiency in service;
Errors in delivery of Products;
Delays in delivery;
Tampering with Product packaging.

You are strictly advised not to engage in any monetary transactions directly with delivery personnel through their personal banking channels, including but not limited to account transfers, UPI payments, or other similar methods. If you choose to do so, LOTS will not be held responsible for any losses, disputes, or issues arising from such transactions.

For further clarity, any issues arising from discourteous, impolite, or unprofessional behavior by delivery personnel or logistics partners must be resolved directly between you and the respective individual or entity. LOTS is not responsible for mediating or resolving disputes between you and the delivery personnel.

SHIPPING CHARGES

Shipping charges shall be calculated at the time of placing the order and shall be indicated the checkout page and displayed in the invoice. These charges must be paid in full at the time of placing the order through any mode or at the time of delivery for cash on delivery orders, as the case may be. The shipping charges are calculated on the basis of multiple factors, including but not limited to the kind of items orders, weight, bulk purchases, delivery location etc. We strive to provide the most accurate and cost-effective shipping options for our customers. It is important to note that these charges are subject to change and may vary based on the specific details of your order. By placing the order, you agree to the calculated shipping charges as presented to you.

LOTS reserves the right to modify the shipping charges at any time without prior notice.

Further, if your prepaid order is cancelled before the dispatch, full shipping charges shall be refunded back in your source account. In cases wherein you have used LOTS E-wallet account, the applicable amount shall be credited back as ‘LOTS Credit’.

In case you wish to reject/return any Product from the order at the time of delivery, the cost of shipping charges will be borne by you. Consequently, no refund for the shipping charge will be issued against the rejected or returned product.

You hereby agree that you shall be responsible for shipping charges incurred for your order regardless of your knowledge of such shipping charges. You acknowledge and affirm that LOTS is authorised to collect such charges for the purpose of providing seamless delivery and quality service till your doorstep.

Return and Refund Policy

CP Wholesale India Private Limited operates its wholesale cash and carry Stores under the brand name LOTS Wholesale Solutions (“LOTS“) and offers varied product/items through its brick and mortar Store (“LOTS Store”), and its website www.lotswholesale.com (“Website“), mobile application (“LOTS App”) and through Business Development Application (“BDA App“) together known as (LOTS E-commerce Platform) for its registered business customers (“You/you” or “Customer”).

The following terms and conditions govern the exchange, return and refund of products/items:

Terms for Return and Exchange You may initiate the request for return or exchange of the product/item subject to adherence of the below mentioned timelines:
1. Within 7 (seven) days from the date of door step delivery to you (including date of delivery) for orders placed through LOTS Ecommerce Platform.
2. Within 7 (seven) days from the date issue of invoice for items purchased through any of the LOTS’ Store.
  1. Products/ Items exempted from Return/ Exchange Due to the nature of our business, several types of products/items are exempt from being returned/exchanged. These items include –
    1. Fresh food (e.g. fruits, vegetables, meat, eggs etc.);
    2. Dairy (e.g. Milk, Curd, Cheese, Paneer, Butter etc.);
    3. Ghee;
    4. Frozen Food items (e.g. McCain frozen foods, ice-cream, frozen vegetables, frozen non-vegetarian items etc.);
    5. Perishable items;
    6. Products/Items used for Personal Hygiene;
    7. Bakery items;
    8. Loose/open food items.

  1. Conditions for accepting Return and Exchange You shall be solely responsible to ensure that the products/ items are thoroughly checked by you (including but not limited to quantity, shelf life, quality of items) at the time of purchase and/or delivery. Once these items have been delivered and accepted by you, you cannot claim return/exchange for any item on the basis of short quantity, limited balance shelf life, damage to product/its packaging etc. and the same shall be treated as deemed accepted by you.The products/items eligible for return or exchange shall comply with the timelines as stated and subject to the below mentioned conditions, at the sole discretion of LOTS:
    1. The return/exchange request must be accompanied with an original invoice of purchase;
    2. The products/items should be unopened, unused, in the original packing and in the same condition as they were at the time of purchase i.e. all inner and outer packing must be intact and should not be damaged.
    3. The products/items must be in absolute saleable condition;
    4. Packaging must be intact with price tags / barcodes;
    5. Product/item to be returned/exchanged should not have expired;
    6. Product/item must be unused and not altered;
    7. The seal should not be broken;
    8. In case of products/items sold in form of a package with similar and/or other different products, you must return all the products that forms a part of that package.
    9. Product/item to be returned/exchanged must be accompanied with a valid warranty card (if applicable).
    10. Promotional products must be returned/exchanged along with the Freebies (if applicable);
    11. In case of electronics, the product should not have been installed and or wall mounted;
    12. In case of LEDs and electronics such as refrigerators, microwaves, washing machine, ear phones, headphones, etc., the product can be replaced until the product is not registered i.e. the product serial no. should not be registered with the brand at the time of raising such request. Once the product is registered, the product warranty gets auto applicable, hence, such product can only be ‘repaired’ but not replaced/exchanged. The products shall be replaced and/or refunded only when the respective brand service center approves such product for replacement. In case of defective LED bulbs, the customer shall have to produce purchase invoice at the refund desk or customer service desk.LOTS may reject to accept any exchange or return at its sole discretion. If the product returned is tampered and/or if in the best judgement of LOTS, you have sought a return/exchange for a duplicate/counterfeit product, LOTS while rejecting the request may also take action to terminate your membership.In the case of an exchange, you may be required to pay the price difference if the product being exchanged is of a higher value than the replacement product or in case of MRP revision.LOTS reserves the right to decide on whether a product/item qualifies for a return/exchange on a case to case basis in accordance to this Return and Refund Policy. The decision of LOTS shall be final and binding.
  1. Products/Items Under Promotions/Schemes/Offers
    1. Products/items sold under any promotion, scheme, campaign or offer may not be returnable. LOTS may accept a return/exchange only if the product/ item is within its valid shelf life period and subject to the term and conditions of this Return and Refund Policy.
  1. Refunds
    1. For claiming refund, you shall bring the product/item to the LOTS Store for quality verification and inspection. The refunds will be initiated for products/items which are approved for return after verification by our quality assurance team and which are fit for resale in the sole discretion and to the satisfaction of LOTS, in accordance to this Return and Refund Policy. Each return request shall be specifically approved subject to inspection of the condition of item and confirmation from LOTS.
    2. In case of cash payment for the purchases made through any of LOTS’ Store, if the request for refund is approved by LOTS, basis the fulfillment of aforementioned conditions, a credit note against the value of the item will be issued to you with a validity period of 180 (one hundred and eighty) days from the date of issuance of such credit note. The credit note can be adjusted in any subsequent purchase from the LOTS Store. After expiry of 180 (one hundred and eighty) days’ period, you cannot claim the value of the credit note and the same shall stand cancelled.
    3. In case of prepaid orders through LOTS Stores, after the request for refund is approved by LOTS, the payment will be credited back to the original mode of payment. It may take up to 14 (fourteen) business days for the refund to reflect in the account from which the payment was made, due to the bank’s internal processes.
    4. For purchases made through LOTS E-commerce Platform, you may raise a request for return either at the time of accepting delivery itself or by visiting any of the LOTS’ Store. If case of prepaid orders, the process as mentioned above will be followed for a refund request and a credit note shall be issued to you confirming the physical handover of the goods has been accepted by LOTS. After quality check and approval, the refunds corresponding to the return of products purchased on a pre-paid basis from LOTS E-commerce Platforms, shall be credited back to the pre-paid mode/source only, within 14 (fourteen) business days.
    5. If you seek to return goods against a COD order, you may do so either at the time of delivery of the COD order itself or visit LOTS Store where such items shall undergo a manual verification and quality check. If the goods are returned at the time of delivery and before acceptance, then the COD order amount will be adjusted at the time of acceptance of delivery itself. In case of returns at the LOTS Store, after completion of verification and quality check in accordance with the terms and conditions of this Policy, if the item is eligible for return, LOTS shall issue a credit note/slip as a documentary evidence validating that the physical handover of the goods to be returned has been accepted by LOTS, and the credit note issued thereof can be used on the subsequent purchase made at LOTS’ Store Only. The credit notes issued herein are not eligible for any exchange against cash.
    6. No cash refunds will be made after delivery of products/items.
  1. Self-Pickup
    1. If you have opted for self-pickup, the self-pickup needs to be completed within 48 hours (forty –eight hours) of placing the request/order (including the date of order).
    2. In case the self-pick up order is not picked within 48 hours (forty –eight hours), the same will be cancelled by LOTS at its sole discretion and at your own cost and expense.
  1. Cash on Delivery
    1. The total order/invoice value for cash on delivery (COD) order(s) should be less than INR 2,00,000 (Rupees Two Lacs only). LOTS shall not be held responsible for cancelling the orders which exceed such limit as mandated by law.
  1. Other Conditions
    1. You cannot cancel any orders once it has been successful placed. LOTS, however, reserves the right to cancel your order in limited circumstances at its sole discretion without being held liable for any cost or expense. In exceptional circumstance, in case you wish to cancel your order, you may raise the cancellation request by contacting the customer care service or sales representative as the case may be. Upon receipt of cancellation request, LOTS shall review the request and confirm whether such request can be accepted. The decision of LOTS shall be final and binding in this regard and LOTS cannot be held liable for cancellation of orders due to any reasons whatsoever.
    2. Cash on delivery is subject to availability of stocks. In case the stock is not available or due to limited availability of stock, LOTS’ representative shall inform you on your registered contact number and only upon receiving confirmation from you, LOTS shall initiate the cancellation of the order.
    3. The accepted mode for collection of payment is, cash (less than INR 2,00,000/-), vouchers, debit and credit cards, UPI. Demand drafts, cheques, foreign currency is not an acceptable mode of collection of payment.
    4. LOTS reserves the right to modify or terminate this policy at any time without notice.
    5. You are responsible for producing the product/item to the LOTS Store for refunds or exchanges.

LOTS will not be directly or indirectly liable for products covered under the manufacturer’s warranty/guarantee.In the event of any disputes, the same shall be referred to courts of competent jurisdiction at New Delhi only. LOTS reserves the right to alter or modify any of the terms and conditions of this policy without assigning any reason or providing intimation whatsoever. LOTS decision on the above would be final and the customer shall abide by the same unconditionally.
  Disclaimer : LOT’s values time and takes your confirmation twice before attempting delivery of your order i.e. once before picking the order and second before dispatching the order. If you still reject/refuse the delivery, then your order will be cancelled, at your sole cost and expense.

LOTS E-Wallet Terms & Conditions

Introduction
1. Overview of LOTS E-Wallet: CP Wholesale India Private Limited (“LOTS”) has issued a closed wallet (“LOTS E-Wallet”) to all its registered members (“LOTS E-Wallet Holders”) shopping from LOTS website, BDA application and LOTS mobile application (together, “LOTS E-commerce Platforms”) .
1. Applicability of Terms and Conditions: The LOTS E-Wallet Holders’ use of the LOTS E-Wallet shall be subject to these LOTS E-Wallet Terms & Conditions (“Terms”) read with LOTS’ Return and Refund Policy, Delivery Policy, Terms and Condition on the E-commerce Platform and the terms and conditions applicable from time-to-time to various Cashback Credits (defined below). In case of any conflict between these Terms and other LOTS terms or policies, in relation to the subject matter set out hereunder these Terms shall prevail.

LOTS E-Wallet
1. Loading of the LOTS E-Wallet:
  - The LOTS E-Wallet can be loaded only by LOTS Team and the LOTS E-Wallet cannot be used by LOTS E-Wallet Holders to manually load or top-up. Any refund corresponding to the return of products purchased by LOTS E-Wallet holder will be represented as the transaction heading ‘Goods Returned’ in the LOTS E-Wallet.
  - LOTS may sometimes run promotional schemes or offer discount vouchers These ad-hoc monetary benefits shall be available as ‘Cashback Credits’ to the LOTS E-Wallet Holder. LOTS E-Wallet LOTS E-Wallet All such promotional discounts/voucher shall directly be transferred and added to the LOTS E-Wallet by LOTS team.
  - The amount available to the LOTS E-Wallet Holder against the transactions falling under Goods Returned and Cashback Credits together shall be represented as the total summation under the ‘Refund Amount’ module in the LOTS E-Wallet. The LOTS E-Wallet Holder can review the respective entries under the “All transactions” tab available in the LOTS E-Wallet.
1. Use of the LOTS E-Wallet:
  - LOTS E-Wallet Holders may use the Refund Amount only for purchasing goods sold on the LOTS E-commerce Platforms which are all owned and operated by LOTS.
  - The Refund Amount cannot be utilized for any other purpose, including for purchasing goods from LOTS’ brick and mortar stores (“LOTS Stores”), or purchasing goods or services from any third-party marketplaces or stores, whether online or offline.
  - The Refund Amount shall be automatically debited/adjusted against the order value in the subsequent purchase of goods’ transaction from the LOTS E-commerce Platforms. If a purchase value exceeds the total E-Wallet balance available in the LOTS E-Wallet, the LOTS E-Wallet Holder may utilize any other available mode of payment that can cover the remaining amount.
  - In case of any technical failures, where the LOTS E-Wallet amount is debited and the order was not successfully placed on the LOTS E-commerce Platform, the LOTS E-Wallet Holder may reach out to the customer care team at contactus@cpwi.in for assistance and reinstating the LOTS E-Wallet balance.

Terms and Conditions for adding Refund against Good Returned/Item Shortage
1. In case of any exchange or return of products purchased from LOTS or in case of any item shortage in the order delivered, the corresponding refund of the amount paid shall be subject to LOTS’ Return and Refund Policy which permits the exchange,return and refund of certain products purchased by LOTS E-Wallet Holders within specified timelines.
2. Return and refund of products for pre-paid Orders:
  - Refunds corresponding to the return of products purchased on a pre-paid basis from LOTS E-commerce Platforms, shall be credited back to the pre-paid mode/source only, unless the LOTS E-Wallet has been used to make part payment for the order.
  - If the LOTS E-Wallet balance was used to make part payment for the order along with pre-paid mode of payment, then the refund in case of returns shall be processed in order of priority i.e. first the refund will be processed to the source of pre-paid mode and the balance if any shall be processed to the LOTS E-Wallet. For instance, if an order is placed for a value of Rs. 1000/- where Rs. 500/- is paid via pre-paid mode and Rs. 500/- is paid via LOTS E-Wallet Refund Amount; in case of return of items worth Rs. 600, the refund of Rs. 500/- shall be processed back to the pre-paid mode/source and Rs. 100 shall be processed to the Refund Amount module of the LOTS E-Wallet.
3. The Refund Amount in the LOTS E-Wallet cannot be redeemed in cash or transferred to the LOTS E-Wallet holder’s bank account in India. The Refund Amount is personal to each LOTS E-Wallet Holder and may not be sold, transferred or assigned to others, or used for any unauthorized purpose.

Terms and Conditions for adding Cashback Credits
1. The Cashback Credits shall be applicable on limited time offers, schemes and promotions on LOTS E-Commerce Platforms and may be available for one-time use in the LOTS E-Wallet. The Cashback Credits shall stand added to the LOTS E-Wallet subject to the fulfillment of the applicable terms and conditions as communicated by LOTS from time to time. In case if the customer does not avail/use such promo cashback which is credited for a limited period for the purpose of redemption; LOTS reserves the right to roll back such credits upon expiry of such limited period and deduct the said amount from the total Refund Amount balance available in the LOTS E-Wallet of such customer. For customer reference; a “Cashback Debit” will reflect under “All Transactions” tab in the LOTS E- Wallet account. Additionally, if any variation is discovered in the cashback calculation by LOTS; a Cashback Debit entry will be passed to settle the difference of extra amount credited earlier at the discretion of LOTS. The terms and conditions will set out (amongst other things) the products to which, and the period for which, the Cashback Credits will apply. The Cashback Credits will reflect for utilization under Refund Amount module in the LOTS E-Wallet.
2. The Cashback Credits cannot be redeemed in cash or transferred to the LOTS E-Wallet holder’s bank account in India. The Cashback Credits once utilized shall not be refunded even in case of return/refund of items.

Expiry and forfeiture of LOTS E-Wallet Refund Amount

There shall be no expiry date for the Refund Amount and the same shall remain in the LOTS E-Wallet until the LOTS E-Wallet/registration account stays active, except the Cashback Credits that form part of the Refund Amount which may expire for utilization as per the terms and conditions applicable to such Credits as more clearly specified in clause IV(a) aforementioned above.
1. In the event of deactivation/termination of the LOTS E-Wallet Holders’ membership/registration, due to misleading, deceptive, illegal acts or omissions, attributable to the LOTS E-Wallet Holders, the Refund Amount in the LOTS E-Wallet shall stand forfeited. However, if the membership is suspended or deactivated due to failure to provide updated license/registration documents, and the LOTS E-Wallet Holder fails to activate the membership within the period as may be specified by LOTS, LOTS E-Wallet Holder may follow the process outlined below to claim the Refund Amount. If the LOTS E-Wallet Holder fails to claim the Refund Amount balance, such amount may stand forfeited.
2. Only in restricted scenarios as mentioned herein (i.e in case of fraudulent or erroneous transactions not invoked by LOTS E-Wallet holder, dispute in refund amount, failed transactions or termination of the LOTS E-Wallet holder’s business relationship with LOTS), subject to LOTS’ sole discretion, LOTS may permit LOTS E-Wallet Holders to transfer the Refund Amount balance into their bank account in India. This shall be subject to:
  - obtaining a written request from the LOTS E-Wallet Holder at contactus@cpwi.in; and
  - completion of KYC and other necessary checks as may be specified by LOTS from time to time, to the extent the LOTS E-Wallet Holder qualifies for a transfer of the Refund Amount back to their bank account in India.
3. The decision of LOTS in this regard shall be final and binding. Any other consequence of the LOTS E-Wallet Holder terminating their business relationship with LOTS shall be subject to sole discretion of LOTS.

Business Development Agent

LOTS may designate certain personnel to act as Business Development Agents
(“BDA”) and help hotel, restaurant and catering (“HoReCa”) customers that require assistance in placing online order of goods.Where a HoReCa customer so requires, BDAs may place an order for such customer using the BDA application that is accessible on the designated BDA’s personal device. In doing so, BDAs will select the mode(s) of payment preferred by the customer. If there is existing Refund Amount balance in such customer’s LOTS E-Wallet, it may be debited towards the purchase transaction. Further, if there are any available exclusive Cashback Credits’ applicable to the customer’s order, the BDA will communicate the same to the customer and the LOTS E-Wallet Holder may review such applied Cashback Credits under the ‘All transaction” tab available in the LOTS E-Wallet of such customer. To the extent any additional payment is required over and above the available the Refund Amount balance, the BDA shall notify the customer for payment of such additional amount which may be utilized using any other mode of payment (including COD) towards it. BDA will assist the customer in opting for the appropriate additional mode of payment and processing such payment towards the order.

General
1. LOTS E-Wallet Holders shall not use the LOTS E-Wallet in a way that is misleading or deceptive, or otherwise causes harm to LOTS or other LOTS E-Wallet holders. In the event LOTS is notified, suspects or becomes aware of the Refund Amount being obtained or used in violation of these Terms, LOTS reserves the right to forthwith, without prior notice, void the LOTS E-Wallet without a refund (including any Refund Amount) suspend or terminate LOTS E-Wallet Holder’s membership with LOTS as well as their ability to use the LOTS E-Commerce Platforms, cancel any order for which payment was initiated through the LOTS E-Wallet, and bill other modes of payment.
2. Under no circumstances shall LOTS be liable for any indirect, incidental, punitive, special or consequential damages incurred or suffered by LOTS E-Wallet Holder arising out of or in connection with these Terms, including without limitation lost revenue, loss of income, or loss of business advantage. LOTS does not make any representations or warranties, express or implied, including but not limited to any warranties of satisfactory quality, fitness for a particular purpose, no infringement and performance or otherwise arising out of any act or omission that is not attributable to LOTS. LOTS E-Wallet Holders agree that LOTS shall not be liable for any errors, delays, disputes, reversals or losses caused by third parties, including but not limited to any banking institution. Without prejudice to the generality of the preceding, LOTS will not be responsible for any Refund Amount that is lost or stolen or for any consequences due to the unauthorized use of the LOTS E-Wallet. Risk of loss and title for Refund Amount passes to the LOTS E-Wallet Holder upon electronic transmission to the LOTS E-Wallet Holder. LOTS E-Wallet Holders acknowledge and understand that the account login is linked to their mobile phone number and LOTS E-Wallet Holders shall be solely responsible for any liability arising out of the loss/theft/misuse of the mobile phone number.
3. LOTS E-Wallet Holders acknowledge and agree that LOTS shall have the right to amend these Terms at its sole discretion without giving any notice. Such amended Terms shall be effective immediately and any other terms and conditions agreed any time before such amendment shall stand null and void. LOTS E-Wallet Holders may visit the LOTS website and/or LOTS mobile application for the updated Terms. If any LOTS E-Wallet Holder does not agree to the Terms, they shall cease using LOTS’ services.
4. LOTS E-Wallet Holders will abide by all the applicable laws, rules and / or regulations and keep LOTS indemniﬁed against any damage, loss and claims arising out of LOTS E-Wallet Holders’ negligent acts or omissions. LOTS E-Wallet Holders agree to be bound by these Terms and waive any right to claim ambiguity in these Terms.

LOTS E-Wallet Holders agree to indemnify and hold LOTS, its affiliates, contractors, employees, officers, directors, agents and its third party suppliers, and partners harmless from any and all claims, losses, damages, and liabilities, costs and expenses, including without limitation legal fees and expenses, arising out of or related to : (i) use or misuse of the LOTS E-Wallet; (ii) any violation of the Terms of using the LOTS E-Wallet; or (iii) any breach of the representations, warranties, and covenants made by the LOTS E-Wallet Holders.
6. These Terms shall be governed by the laws of India and any dispute pursuant hereto shall be subject to exclusive jurisdiction of courts at New Delhi.

You hereby acknowledge and certify that the documents provided by you are authentic, true and accurate. In case of any misrepresentation, provided by you, you shall be solely liable and responsible and LOTS may take action as per applicable laws, including termination of your membership.

Upon receipt of any of the above mentioned documents and completion of verification thereof, LOTS shall issue a valid registration card for you (“Registration Card“) at its sole discretion. The order confirmation on the Website or on LOTS App is acknowledgement that LOTS has received your order, and does not confirm acceptance of your offer to buy the Product(s) ordered. Customer Registration Terms and Conditions

By accessing / making purchases from the Store, you shall deemed to be making an afﬁrmative statement of your acceptance of below mentioned terms of T&Cs:

You acknowledge and conﬁrm that the products being purchased by you from the Store are only for resale, trade, commercial, professional, institutional and/or industrial use and not for personal consumption and you have all the necessary permits, licenses, certiﬁcations etc. as required under applicable laws for sale and purchase of all such products. Accordingly, you may only register with LWS provided you intend to purchase and use the products for the said purpose only and not for any personal use, except as provided under law.

To become a member of LWS, you shall be required to present either of following document(s) evidencing (i) applicable tax registration or (ii) trade licenses i.e. a license/registration certificate/membership certificate/registration under Shops and Establishment Act, issued by a Government Authority/Government Body/Local Self-Government Authority, reflecting that you hold the license/ registration certificate/ membership certificate, as the case may be, and are engaged in a business involving commercial activity; or (iii) permits/license etc. for undertaking retail trade from Government Authorities/Local Self Government Bodies; or (iv) are an institution having certificate of incorporation or registration as a society or registration as public trust. Additionally, you shall be required to submit a copy of valid permanent account number card (PAN Card) issued as per Income Tax Act, 1961 (in the absence of PAN – declaration in Form 60) and such other supporting documents as requested.

You shall be responsible to ensure that the documents provided by you are valid and subsisting during the entire engagement with LWS as registered member. You hereby acknowledge and certify that the documents provided by you are authentic, true and accurate. In case of any misrepresentation, you shall be solely liable and responsible and LWS may take action as per applicable laws, including termination of your membership. Upon receipt of any of the above mentioned documents and completion of veriﬁcation thereof, LWS shall issue a valid registration card for you at its sole discretion (“Registration Card“).

For registered members applying for add on cards: You acknowledge that only 1 additional card shall be issued to your authorised representatives for making purchases on your behalf. You agree and undertake to provide accurate information and valid legal documents including but not limited to, an authorisation letter/board resolution, for such additional member (“Add on Members”) as may be required by LWS under this form and also from time to time. Upon due verification of documents, LWS shall issue an additional card to your authorized representative at its sole discretion.

You acknowledge and agree that your authorised representative (registered with LWS) only shall be permitted to enter the Store. Each time your authorised representative visits a Store, such representative shall carry the Registration Card, in absence of which, entry to Store shall be barred. Only one person shall be allowed to accompany the authorised representative to the Store.

The sale price indicated in respect of the products are inclusive of local taxes. You agree to pay applicable taxes in case of any change in the tax rate leading to change of sale price. LWS shall charge taxes basis the address mentioned on GST registration certiﬁcate/ address provided by you at time of registration. LWS shall be entitled to recover any liability arising on account of any wrong declaration by you.

Except otherwise provided, you shall be responsible for movement of products to the address mentioned on the invoice along with complete documents including e-way bills. Upon your request, LWS may at its sole discretion provide support/ documentation for movement of such products.

LWS shall not accept any payment in cash exceeding INR 195,000 per day for a transaction, or in its account. In case of breach such amount shall be forfeited by LWS without any prior intimation.

LWS reserves the right to reject a membership application without assigning any reason(s) either to an entity/person or any of its authorised representative.

You agree not to make purchases from Store for personal use, except for members registered under para. 2(iv) above. You acknowledge and agree that in case it comes to the notice of LWS that purchases from Store are made for personal use, LWS shall have the right to terminate your registration forthwith.

The Registration Card is the sole property of LWS. In case of termination of this T&Cs you shall be required to return the same. You shall immediately notify LWS in case of: (a) loss of the Registration Card; or (b) change of your authorised representative; (c) winding up of your business; or (d) change of ownership of your business; or (e) expiry of documents provided per para. 2 above for registration.

LWS reserves right to admission. LWS reserves the right to restrict the entry of children below the age of 8 (eight) years on account of safety and security reasons. In case you bring any person below 18 (eighteen) years of age to the Store, the same shall be at your sole responsibility and LWS shall not be responsible or liable for any consequences including but not limited to any accident, injury or hurt caused as a result thereof.

The Store may, from time to time, set up minimum invoice limits, you agree to abide by the same. You agree that prices of the products are subject to change without any prior intimation.

You agree that your entitlement to warranty shall be governed by the terms of products purchased from Store. In case the product bought by you is damaged; exchange, replacement or refund for such damaged product shall be governed by the Store exchange & return policy.
Your payment for the product constitutes conﬁrmation of receipt of the product and that the product is without any defect.
Stores may have paid or unpaid parking spaces to facilitate the parking of your vehicle. In case you avail the facility of parking, you agree that such parking of vehicle shall be at your own risk and you will not hold LWS liable for any damage or loss of vehicle thereof and you shall keep LWS indemniﬁed against any loss, damage or claim of any third party loss arising thereof.
This T&Cs is valid unless terminated by LWS. LWS shall have the right to terminate without assigning any reason thereof. Any loss of business suffered by you due to termination, will be your sole responsibility and cost. Termination by LWS shall not require any notice and/or refund. In case of failure to furnish valid business documents for, inter alia, a) change in your authorized representative, b) change of ownership of your business, c) change of address or d) expiry of documents, LWS reserves the right to take such necessary action as it may deem fit or terminate your registration forthwith at its sole discretion.
You will abide by all the applicable laws, rules and / or regulations and keep LWS indemniﬁed against any damage, loss and claims arising out of your negligent acts or omissions. You agree to be bound by this T&Cs and waive any right to claim ambiguity in terms & conditions of this T&Cs. LWS does not provide any warranties with regard to the quality or ﬁtness for any purpose of the product available in the Stores. You shall not offer any cash to any LWS employee, agent and / or representative, in case of contrary, you shall be responsible for any loss or damage arising thereof.
LWS shall not be responsible or liable for any failure to fulﬁl its obligations, if such failure is on account of force majeure event. For the purpose of this T&Cs, force majeure event shall mean such unforeseeable occurrences beyond the reasonable control of LWS including but not limited to Acts of God, natural catastrophes, frequency interference from external source, epidemics, earthquakes; strikes and blockades either by LWS personnel or others affecting this T&Cs; war or war-like conditions, mobilization, revolutions or riots, acts of public enemy, sabotage, terrorism; restriction by or actions, omissions or interventions of government including but not limited to changes in laws, regulations or import / export, security restrictions; disconnection or deterioration of service and/or supply by LWS ‘s supplier.

Terms and Conditions for LOTS Privilege Club

All members registered (including Add-On Cards) with CP Wholesale India Private Limited (“LOTS“) carrying a valid registration card (“Eligible Member”) shall be eligible to apply for a membership of LOTS Privilege Club and shall be issued a LOTS Privilege Club Card (“Card”) to avail the offers and benefits provided thereunder by shopping from any of our LOTS Wholesale Solutions Stores (“LOTS Stores”), subject to the discretion of LOTS. Registered members of LOTS shall be eligible to participate and enrol to become a member of the LOTS Privilege Club upon payment of a fixed membership fee (“Fee”) amounting to INR 1499/- (Rupees One Thousand Four Hundred and Ninety-Nine Only) (inclusive of all taxes) (“LOTS Privilege Club Cardholder”) subject to following terms and conditions.

Definitions

For the purpose of these terms and conditions (“Terms and Conditions“):

(i) “Membership Period” shall mean a period of 90 (Ninety) days commencing from date of activation of the LOTS Privilege Club Card. Eg. if the card is activated on 1^st March 2023, the Membership Period shall be valid for 1st March 2023 to 29^th May 2023 (both days inclusive)

Terms and Conditions

This is an exclusive offer. You can express interest to become a member of LOTS Privilege Club upon fulfilling the following terms and conditions.
The Eligible Members who wish to use the benefits under this offer shall pay a non-refundable membership fee of INR 1499/- (Rupees One Thousand Four Hundred and Ninety-Nine Only) (inclusive of all applicable taxes) to become a LOTS Privilege Club Cardholder. The LOTS Privilege Club Card shall be non- transferable.
LOTS Privilege Club Cardholder intending to avail the benefits under the Card is required to carry the physical Card to the LOTS Store in order to avail the eligible benefits. In case the member fails to present the physical LOTS Privilege Club Card, the member shall not be eligible to avail the benefits under the Card.
The Card shall be valid for a period of 90 (Ninety) days from the date of activation of the Card. LOTS Privilege Club Card shall be valid only during the Membership Period as defined above and the benefits under the Card shall seize after the expiry of the Card.

The following benefits and offers can be availed by the LOTS Privilege Club Members and Cardholders:

a. One-time instant discount voucher: Each LOTS Privilege Club Cardholder shall receive one instant discount voucher worth INR 499/- (Rupees Four Hundred and Ninety-Nine Only). The voucher can be used only once during the Membership Period. The voucher shall be valid for a limited period only as may be mentioned on the voucher coupon. The voucher can be redeemed against shopping at LOTS Store on a minimum purchase value of INR 500/- (Rupees Five Hundred Only) (inclusive of all applicable taxes). This offer cannot be clubbed with any other voucher/discount coupon running at LOTS Stores and cannot be exchange for cash or credit. Terms and conditions mentioned on the voucher shall apply.

b. During the Membership Period the LOTS Privilege Club Cardholders shall be eligible for receiving Cashback Points and certain privileged benefits/coupons:

For earning Cashback Points, the LOTS Privilege Club Cardholders need to make purchase of the items under Eligible Product Categories as provided in Table – A and/or as may be intimated by LOTS from time to time at its sole discretion, with a minimum purchase value (“Minimum Purchase”) of INR 500/- (Rupees Five Hundred Only) (inclusive of all applicable taxes).

LOTS Privilege Club Cardholders can accumulate a maximum Cashback Points of INR 1000/- (Rupees One ThousandOnly) each month during the Membership Period. The Cashback Points will be calculated on pro rata basis on previous months’ spending during the card’s active period.

The Cashback Points will be credited after the return or refund period of the items purchased is over and latest by 10^th of the next month in the member’s account for the shopping/purchases made until 30^th/31^st of the previous month during the Membership Period or until the date of expiry of the Membership Period, as applicable. LOTS Privilege Club Cardholders shall accordingly receive a WhatsApp or text message on their registered number notifying about the Cashback Points once the same is credited in their account. Once the Cashback Points are credited, the Purchase cannot be returned or refunded.

The Cashback Points may be redeemed by the LOTS Privilege Club Cardholder on the next purchase/shopping from LOTS Stores. The Cashback Points can only be used as ‘discount’ on the next purchase and cannot be exchanged for cash. The Cashback Points can be redeemed even after the expiry of the Membership Period and up to a period of 180 (One Hundred and Eighty) days from the date of expiry of the Membership Period. After the expiry of the 180 (One Hundred and Eighty) day period, the Cashback Points will automatically expire and LOTS shall not be liable for any direct or indirect loss/damage arising out of it.

LOTS Privilege Club Cardholders hereby agree and acknowledge that no Cashback Points shall be credited on the excluded items mentioned under Table A.

No return or exchange of items shall be entertained post credit of Cashback Points in your account.

Privilege Coupons: In addition to the above benefits, the LOTS Privilege Club Cardholders shall also receive adhoc offers and benefits in the form of Privilege Coupon available at the LOTS Stores. Privilege Coupons contain attractive additional discounts, vouchers, coupons, deals and benefits for LOTS Privilege Club Cardholders. The Privilege Coupons shall only be available to LOTS Privilege Club Cardholders only. The details and specific terms and conditions applicable on Privilege Coupons shall be available at LOTS Stores.

In case of loss or damage of card, a new card shall be issued upon request and upon payment of a fee of INR 100/- (Rupees Hundred Only), plus applicable taxes, to LOTS. After receipt of payment, a new LOTS Privilege Club Card shall be issued.

1. In case of partial/ full return or exchange of item, LOTS refund and exchange policy shall be applicable.
1. By participating in the offer, the LOTS Privilege Club Cardholders agree to provide accurate and complete information about themselves. We will use this information to administer the program and communicate with customers about their cashback points.
1. Upon expiry of validity period of the Card, the LOTS Privilege Club Card shall stand expired and will remain invalid. In case an Eligible Member wishes to continue to receive the privileges and avail benefits as available under the previous Card, a fresh Card can be issued upon payment of a non-refundable membership fee of INR 1499/- (Rupees One Thousand Four Hundred and Ninety-Nine Only)(inclusive of all applicable taxes) by such Eligible Member. The fresh Card shall be valid for a period of 90 (Ninety) days from the date of activation of such Card.
1. The Cashback points (if any) accrued on the previous Card after the expiry of the Membership Period cannot be transferred or linked with the fresh Card. “Purchase” shall mean such purchase of items made by LOTS Privilege Lite Cardholders from LOTS Stores during the Membership Period only and/or as may be intimated by LOTS from time to time during the Membership Period.
“Cashback Points” shall mean points earned on transactions which shall be credited to the LOTS Privilege Lite Cardholder’s membership account as per the offer criteria. The value of the 1 Cashback Point = Re. 1 (Rupee one only).

III. Terms and Conditions

This is an exclusive offer. You can express interest to become a member of LOTS Privilege Lite on the following terms and conditions.
The Eligible Members who wish to use the benefits under this offer shall pay a non-refundable membership fee of INR 799/- (Rupees Seven Hundred and Ninety-Nine Only) (inclusive of all applicable taxes) to become a LOTS Privilege Lite Cardholder. The LOTS Privilege Lite Card shall be non- transferable.
The Member who is already registered in LOTS Privilege Club Card Membership shall not be eligible for LOTS Privilege Lite Card.
LOTS Privilege Lite Cardholder intending to avail the benefits under the Card is required to carry the physical Card to the LOTS Store in order to avail the eligible benefits. In case the member fails to present the physical LOTS Privilege Lite Card, the member shall not be eligible to avail the benefits under the Card.
The Card shall be valid for a period of 90 (Ninety) days from the date of purchase of the Card. LOTS Privilege Lite Card shall be valid only during the Membership Period as defined above and the benefits under the Card shall seize after the expiry of the Card.

(vi) The following benefits and offers can be availed by the LOTS Privilege Lite Members and Cardholders:

a. One-time instant discount voucher: Each LOTS Privilege Lite Cardholder shall receive one instant discount voucher worth INR 301/- (Rupees Three Hundred and One Only). The voucher can be used only once during the Membership Period. The voucher shall be valid for a limited period only as may be mentioned on the voucher coupon. The voucher can be redeemed against shopping at LOTS Store on a minimum purchase value of INR 500/- (Rupees Five Hundred Only) (inclusive of all applicable taxes). This offer cannot be clubbed with any other voucher/discount coupon running at LOTS Stores and cannot be exchange for cash or credit. Terms and conditions mentioned on the voucher shall apply.

b. During the Membership Period the LOTS Privilege Lite Cardholders shall be eligible for receiving Cashback Points and certain privileged benefits/coupons:

To qualify for the Cashback Points, LOTS Privilege Lite Cardholders must transact during the Membership Period from LOTS Stores only. For earning Cashback Points, the LOTS Privilege Lite Cardholders need to make purchase of the items under Eligible Product Categories as provided in Table – A and/or as may be intimated by LOTS from time to time at its sole discretion, with a minimum purchase value (“Minimum Purchase”) of INR 500/- (Rupees Five Hundred Only) (inclusive of all applicable taxes).
LOTS Privilege Lite Cardholders can accumulate a maximum Cashback Points of INR 500/- (Rupees Five Hundred Only) each month during the Membership Period. The Cashback Points will be calculated on pro rata basis on previous months’ spending during the card’s active period.
The Cashback Points will be credited after the return or refund period of the items purchased is over and latest by 10^thof the next month in the member’s account for the shopping/purchases made until 30^th/31^st of the previous month during the Membership Period or until the date of expiry of the Membership Period, as applicable. LOTS Privilege Lite Cardholders shall accordingly receive a WhatsApp or text message on their registered number notifying about the Cashback Points once the same is credited in their account. Once the Cashback Points are credited, the Purchase cannot be returned or refunded.
The Cashback Points may be redeemed by the LOTS Privilege Lite Cardholder on the next purchase/shopping from LOTS Stores. The Cashback Points can only be used as ‘discount’ on the next purchase and cannot be exchanged for cash. The Cashback Points can be redeemedeven after the expiry of the Membership Period and up to a period of 180 (One Hundred and Eighty) days from the date of expiry of the Membership Period. After the expiry of the 180 (One Hundred and Eighty) day period, the Cashback Points will automatically expire and LOTS shall not be liable for any direct or indirect loss/damage arising out of it.
LOTS Privilege Lite Cardholders hereby agree and acknowledge that no Cashback Points shall be credited on the excluded items mentioned under Table A.
No return or exchange of items shall be entertained post credit of Cashback Points in your account.

1. Privilege Coupons: In addition to the above benefits, the LOTS Privilege Lite Cardholders shall also receive adhocoffers and benefits in the form of Privilege Coupon available at the LOTS Stores. Privilege Coupons contain attractive additional discounts, vouchers, coupons, deals and benefits for LOTS Privilege Lite Cardholders. The Privilege Coupons shall only be available to LOTS Privilege Lite Cardholders & LOTS Privilege Club Cardholders only. The details and specific terms and conditions applicable on Privilege Coupons shall be available at LOTS Stores.

(viii) In case of partial/ full return or exchange of item, LOTS refund and exchange policy shall be applicable.

(xv) In all matters relating to this Offer, the decision of LOTS shall be final and binding.

Terms and Conditions for LOTS Privilege Lite 6 months’ validity card

All members registered (including Add-On Cards) with CP Wholesale India Private Limited (“LOTS“) carrying a valid registration card (“Eligible Member”) and who is not Members of the existing LOTS Privilege Cards (Club Card & Lite Card with 3 month validity period) shall be eligible to apply for a membership of LOTS Privilege Lite 6 months’ validity Card and shall be issued a LOTS Privilege Lite 6 months validity Card (“Card”) to avail the offers and benefits provided thereunder by shopping from any of our LOTS Wholesale Solutions Stores (“LOTSStores”), subject to the discretion of LOTS. Terms and Conditions for LOTS Campaign “Minimum 10%* off on MRP + Extra Discounts”

All members registered with CP Wholesale India Private Limited (“LOTS“) shall be eligible to avail the discount(s) offered in the campaign running at each of the stores of “LOTS Wholesale Solutions” (“Stores”). Under the campaign, LOTS is offering a minimum 10% discount on MRP on all Eligible Products, except Prohibited Items as enlisted in Annexure A(“Offer”). This offer is valid for purchased made at Stores, on the LOTS’ website https://www.lotswholesale.com/ (“Website”), LOTS mobile applications (“LOTS App“). LOTS BDA mobile application (“App“).

This Offer is valid on a purchase of minimum quantity of items as indicated/mentioned on the railcards displayed against each Eligible Product at Stores and on the landing page against the Eligible Products on the Website and the App, if you are placing your order online. Please note that the price mentioned on the railcard/mobile app/website shall be the final price including the 10% discount on MRP for the highest slab.

This Offer shall not be valid on Prohibited Items as mentioned in Annexure A.

LOTS reserves the right to include or remove any Eligible Product on which minimum discount of 10% is applicable, from time to time.

These terms and conditions are applicable on all the offers, schemes, promotions etc. running in each store of “LOTS Wholesale Solutions” (brand of CP Wholesale India Private Limited), on LOTS’ ecommerce website https://www.lotswholesale.com/(“Website”), LOTS mobile application (“LOTS App”) and the LOTS BDA application (“App“).

These terms and conditions are to be read in conjunction with the offer specific terms and conditions and in case of any conflict between these general terms and conditions and offer specific terms and conditions, the latter shall prevail over the former.

The usage of the offer is purely voluntary and shall have to be redeemed at the time of billing. The offer shall not be redeemable against Cash or Credit. The offer shall be valid on the purchase of eligible products only. The offer is subject to availability of offer products. The offer can only be applied on current billing and cannot be applied on previously placed orders.

These general terms and conditions are applicable on purchases made by visiting LOTS Stores or on purchases made on e-commerce website at https://www.lotswholesale.com/, LOTS mobile application (“LOTS App”) and/or from LOTS personnel using LOTS BDA app (“App”).

LOTS shall not be liable for any damage or loss including without limitation indirect or consequential losses / damages arising from personal injury, death or damage to property which may be suffered or sustained in connection with the offers. All prices mentioned in the offers are inclusive of all applicable taxes.

Standard Return Policy is applicable on all the offers and the Member may refer the same at https://corporate.lotswholesale.com/faq.

LOTS reserves the right to reject any claim made under the offers in the event LOTS observes any irregularity and/or has reason to believe that a Member has acted in a fraudulent manner and/or engaged in any deceitful/illegal activity and/or non-compliance/breach/contravention of the terms and conditions.

All taxes including income tax and gift tax, duties, levies or other statutory dues and charges including handling charges payable in connection with the offers which shall be borne solely by the Member and LOTS shall not be liable in any manner whatsoever for any such taxes, duties, levies or other statutory dues and charges including handling charges.

By accepting the terms and conditions of the offers, Member agrees to indemnify LOTS and all its associates including director(s), officers, employees and agents from any claim, prosecution, judgment, damage, loss (including attorney’s fee) or liability incurred related to its/his/her participation in the offers.

LOTS reserves the right to modify, suspend or discontinue any offer at any time without prior notice. LOTS shall not be liable for any direct or indirect loss/damage arising out of any such change, modification, alteration, postponement or cancellation thereof.

All decisions of LOTS’ management regarding conduct/process/results of the offers shall be final and binding on all Members.

By participating in the offers, Member confirms and waives the applicability of rules and regulations of National Do Not Call Registry and also agrees to receive promotional messages from LOTS per its discretion.

Member agrees that participating in any offer constitutes grant of permission to LOTS to click photographs of Member and use its/his/her name, photograph, voice and comments for advertising and promotional purposes in any media worldwide, without any additional benefit whatsoever to the Member.

All the offers are subject to force majeure circumstances i.e. act of God or any circumstance beyond the reasonable control of LOTS’ management. In case of force majeure conditions, no liability of whatsoever nature shall fall upon LOTS with respect to any of the offers.

Member hereby understands and gives its/his/her irrevocable consent for sharing / submitting its/his/her personal information with LOTS.

All the offers shall be governed by and construed in accordance with the applicable laws in India and the relevant State laws applicable to the specific LOTS store where purchases are made by the Member in accordance with these terms and conditions, as may be amended/modified from time to time. Terms & Conditions for Handling Fee

By placing an order through Website, LOTS App or BDA, you agree to the application of the Handling Fee in accordance with these Terms & Conditions. The Fee will be applied to all orders placed by Members through Website, LOTS App or BDA, including for orders selected for self-pickup by the Member from LOTS store. The Fee shall be visible in your invoice as well as the checkout page, if the order is being placed through the Website or the LOTS App.
You acknowledge and agree that the Fee is non-refundable and will be charged towards handling, processing and fulfilment of your orders. The Fee shall not be refunded if the order is cancelled/returned partially. If a Member cancels or returns the order in full, the Fee may be refunded as per Our sole discretion in certain limited cases.
You agree that the Fee may vary from order to order. Factors influencing the Fee include, but are not limited to, the type of product, the place of dispatch of the order and the time required to prepare the order for dispatch.
You acknowledge that the Fee is inclusive of all applicable taxes.
You agree that We reserve the right to modify the Fee, including the manner in which it is calculated, at any time without prior notice. Such changes will be effective immediately upon updating the Terms & Conditions on our platform. We shall not be liable for any claims, losses, or damages resulting from the application of the Fee as described or any change herein.
These terms and conditions shall be governed by the laws of India and any dispute pursuant hereto shall be subject to exclusive jurisdiction of courts at New Delhi.

Terms and Conditions for Delivery

Shipping is possible only for certain pin-codes, within the Delivery Zones as serviced by LOTS from time to time.

LOTS shall facilitate delivery of an order placed by you at selected delivery location falling under respective delivery zones.

Logistical challenges beyond our control;
Adverse weather conditions;
Political disruptions, strikes, or employee lockouts;
Acts of nature such as floods, earthquakes, or other force majeure events;
Other unforeseen circumstances.

Deficiency in service;
Errors in delivery of Products;
Delays in delivery;
Tampering with Product packaging.

Return and Refund Policy

The following terms and conditions govern the exchange, return and refund of products/items:

Terms for Return and Exchange You may initiate the request for return or exchange of the product/item subject to adherence of the below mentioned timelines:
1. Within 7 (seven) days from the date of door step delivery to you (including date of delivery) for orders placed through LOTS Ecommerce Platform.
2. Within 7 (seven) days from the date issue of invoice for items purchased through any of the LOTS’ Store.
  1. Products/ Items exempted from Return/ Exchange Due to the nature of our business, several types of products/items are exempt from being returned/exchanged. These items include –
    1. Fresh food (e.g. fruits, vegetables, meat, eggs etc.);
    2. Dairy (e.g. Milk, Curd, Cheese, Paneer, Butter etc.);
    3. Ghee;
    4. Frozen Food items (e.g. McCain frozen foods, ice-cream, frozen vegetables, frozen non-vegetarian items etc.);
    5. Perishable items;
    6. Products/Items used for Personal Hygiene;
    7. Bakery items;
    8. Loose/open food items.

  1. Conditions for accepting Return and Exchange You shall be solely responsible to ensure that the products/ items are thoroughly checked by you (including but not limited to quantity, shelf life, quality of items) at the time of purchase and/or delivery. Once these items have been delivered and accepted by you, you cannot claim return/exchange for any item on the basis of short quantity, limited balance shelf life, damage to product/its packaging etc. and the same shall be treated as deemed accepted by you.The products/items eligible for return or exchange shall comply with the timelines as stated and subject to the below mentioned conditions, at the sole discretion of LOTS:
    1. The return/exchange request must be accompanied with an original invoice of purchase;
    2. The products/items should be unopened, unused, in the original packing and in the same condition as they were at the time of purchase i.e. all inner and outer packing must be intact and should not be damaged.
    3. The products/items must be in absolute saleable condition;
    4. Packaging must be intact with price tags / barcodes;
    5. Product/item to be returned/exchanged should not have expired;
    6. Product/item must be unused and not altered;
    7. The seal should not be broken;
    8. In case of products/items sold in form of a package with similar and/or other different products, you must return all the products that forms a part of that package.
    9. Product/item to be returned/exchanged must be accompanied with a valid warranty card (if applicable).
    10. Promotional products must be returned/exchanged along with the Freebies (if applicable);
    11. In case of electronics, the product should not have been installed and or wall mounted;
    12. In case of LEDs and electronics such as refrigerators, microwaves, washing machine, ear phones, headphones, etc., the product can be replaced until the product is not registered i.e. the product serial no. should not be registered with the brand at the time of raising such request. Once the product is registered, the product warranty gets auto applicable, hence, such product can only be ‘repaired’ but not replaced/exchanged. The products shall be replaced and/or refunded only when the respective brand service center approves such product for replacement. In case of defective LED bulbs, the customer shall have to produce purchase invoice at the refund desk or customer service desk.LOTS may reject to accept any exchange or return at its sole discretion. If the product returned is tampered and/or if in the best judgement of LOTS, you have sought a return/exchange for a duplicate/counterfeit product, LOTS while rejecting the request may also take action to terminate your membership.In the case of an exchange, you may be required to pay the price difference if the product being exchanged is of a higher value than the replacement product or in case of MRP revision.LOTS reserves the right to decide on whether a product/item qualifies for a return/exchange on a case to case basis in accordance to this Return and Refund Policy. The decision of LOTS shall be final and binding.
  1. Products/Items Under Promotions/Schemes/Offers
    1. Products/items sold under any promotion, scheme, campaign or offer may not be returnable. LOTS may accept a return/exchange only if the product/ item is within its valid shelf life period and subject to the term and conditions of this Return and Refund Policy.
  1. Refunds
    1. For claiming refund, you shall bring the product/item to the LOTS Store for quality verification and inspection. The refunds will be initiated for products/items which are approved for return after verification by our quality assurance team and which are fit for resale in the sole discretion and to the satisfaction of LOTS, in accordance to this Return and Refund Policy. Each return request shall be specifically approved subject to inspection of the condition of item and confirmation from LOTS.
    2. In case of cash payment for the purchases made through any of LOTS’ Store, if the request for refund is approved by LOTS, basis the fulfillment of aforementioned conditions, a credit note against the value of the item will be issued to you with a validity period of 180 (one hundred and eighty) days from the date of issuance of such credit note. The credit note can be adjusted in any subsequent purchase from the LOTS Store. After expiry of 180 (one hundred and eighty) days’ period, you cannot claim the value of the credit note and the same shall stand cancelled.
    3. In case of prepaid orders through LOTS Stores, after the request for refund is approved by LOTS, the payment will be credited back to the original mode of payment. It may take up to 14 (fourteen) business days for the refund to reflect in the account from which the payment was made, due to the bank’s internal processes.
    4. For purchases made through LOTS E-commerce Platform, you may raise a request for return either at the time of accepting delivery itself or by visiting any of the LOTS’ Store. If case of prepaid orders, the process as mentioned above will be followed for a refund request and a credit note shall be issued to you confirming the physical handover of the goods has been accepted by LOTS. After quality check and approval, the refunds corresponding to the return of products purchased on a pre-paid basis from LOTS E-commerce Platforms, shall be credited back to the pre-paid mode/source only, within 14 (fourteen) business days.
    5. If you seek to return goods against a COD order, you may do so either at the time of delivery of the COD order itself or visit LOTS Store where such items shall undergo a manual verification and quality check. If the goods are returned at the time of delivery and before acceptance, then the COD order amount will be adjusted at the time of acceptance of delivery itself. In case of returns at the LOTS Store, after completion of verification and quality check in accordance with the terms and conditions of this Policy, if the item is eligible for return, LOTS shall issue a credit note/slip as a documentary evidence validating that the physical handover of the goods to be returned has been accepted by LOTS, and the credit note issued thereof can be used on the subsequent purchase made at LOTS’ Store Only. The credit notes issued herein are not eligible for any exchange against cash.
    6. No cash refunds will be made after delivery of products/items.
  1. Self-Pickup
    1. If you have opted for self-pickup, the self-pickup needs to be completed within 48 hours (forty –eight hours) of placing the request/order (including the date of order).
    2. In case the self-pick up order is not picked within 48 hours (forty –eight hours), the same will be cancelled by LOTS at its sole discretion and at your own cost and expense.
  1. Cash on Delivery
    1. The total order/invoice value for cash on delivery (COD) order(s) should be less than INR 2,00,000 (Rupees Two Lacs only). LOTS shall not be held responsible for cancelling the orders which exceed such limit as mandated by law.
  1. Other Conditions
    1. You cannot cancel any orders once it has been successful placed. LOTS, however, reserves the right to cancel your order in limited circumstances at its sole discretion without being held liable for any cost or expense. In exceptional circumstance, in case you wish to cancel your order, you may raise the cancellation request by contacting the customer care service or sales representative as the case may be. Upon receipt of cancellation request, LOTS shall review the request and confirm whether such request can be accepted. The decision of LOTS shall be final and binding in this regard and LOTS cannot be held liable for cancellation of orders due to any reasons whatsoever.
    2. Cash on delivery is subject to availability of stocks. In case the stock is not available or due to limited availability of stock, LOTS’ representative shall inform you on your registered contact number and only upon receiving confirmation from you, LOTS shall initiate the cancellation of the order.
    3. The accepted mode for collection of payment is, cash (less than INR 2,00,000/-), vouchers, debit and credit cards, UPI. Demand drafts, cheques, foreign currency is not an acceptable mode of collection of payment.
    4. LOTS reserves the right to modify or terminate this policy at any time without notice.
    5. You are responsible for producing the product/item to the LOTS Store for refunds or exchanges.

LOTS will not be directly or indirectly liable for products covered under the manufacturer’s warranty/guarantee.In the event of any disputes, the same shall be referred to courts of competent jurisdiction at New Delhi only. LOTS reserves the right to alter or modify any of the terms and conditions of this policy without assigning any reason or providing intimation whatsoever. LOTS decision on the above would be final and the customer shall abide by the same unconditionally.
  Disclaimer : LOT’s values time and takes your confirmation twice before attempting delivery of your order i.e. once before picking the order and second before dispatching the order. If you still reject/refuse the delivery, then your order will be cancelled, at your sole cost and expense.

LOTS E-Wallet Terms & Conditions

Introduction
1. Overview of LOTS E-Wallet: CP Wholesale India Private Limited (“LOTS”) has issued a closed wallet (“LOTS E-Wallet”) to all its registered members (“LOTS E-Wallet Holders”) shopping from LOTS website, BDA application and LOTS mobile application (together, “LOTS E-commerce Platforms”) .
1. Applicability of Terms and Conditions: The LOTS E-Wallet Holders’ use of the LOTS E-Wallet shall be subject to these LOTS E-Wallet Terms & Conditions (“Terms”) read with LOTS’ Return and Refund Policy, Delivery Policy, Terms and Condition on the E-commerce Platform and the terms and conditions applicable from time-to-time to various Cashback Credits (defined below). In case of any conflict between these Terms and other LOTS terms or policies, in relation to the subject matter set out hereunder these Terms shall prevail.

LOTS E-Wallet
1. Loading of the LOTS E-Wallet:
  - The LOTS E-Wallet can be loaded only by LOTS Team and the LOTS E-Wallet cannot be used by LOTS E-Wallet Holders to manually load or top-up. Any refund corresponding to the return of products purchased by LOTS E-Wallet holder will be represented as the transaction heading ‘Goods Returned’ in the LOTS E-Wallet.
  - LOTS may sometimes run promotional schemes or offer discount vouchers These ad-hoc monetary benefits shall be available as ‘Cashback Credits’ to the LOTS E-Wallet Holder. LOTS E-Wallet LOTS E-Wallet All such promotional discounts/voucher shall directly be transferred and added to the LOTS E-Wallet by LOTS team.
  - The amount available to the LOTS E-Wallet Holder against the transactions falling under Goods Returned and Cashback Credits together shall be represented as the total summation under the ‘Refund Amount’ module in the LOTS E-Wallet. The LOTS E-Wallet Holder can review the respective entries under the “All transactions” tab available in the LOTS E-Wallet.
1. Use of the LOTS E-Wallet:
  - LOTS E-Wallet Holders may use the Refund Amount only for purchasing goods sold on the LOTS E-commerce Platforms which are all owned and operated by LOTS.
  - The Refund Amount cannot be utilized for any other purpose, including for purchasing goods from LOTS’ brick and mortar stores (“LOTS Stores”), or purchasing goods or services from any third-party marketplaces or stores, whether online or offline.
  - The Refund Amount shall be automatically debited/adjusted against the order value in the subsequent purchase of goods’ transaction from the LOTS E-commerce Platforms. If a purchase value exceeds the total E-Wallet balance available in the LOTS E-Wallet, the LOTS E-Wallet Holder may utilize any other available mode of payment that can cover the remaining amount.
  - In case of any technical failures, where the LOTS E-Wallet amount is debited and the order was not successfully placed on the LOTS E-commerce Platform, the LOTS E-Wallet Holder may reach out to the customer care team at contactus@cpwi.in for assistance and reinstating the LOTS E-Wallet balance.

Terms and Conditions for adding Refund against Good Returned/Item Shortage
1. In case of any exchange or return of products purchased from LOTS or in case of any item shortage in the order delivered, the corresponding refund of the amount paid shall be subject to LOTS’ Return and Refund Policy which permits the exchange,return and refund of certain products purchased by LOTS E-Wallet Holders within specified timelines.
2. Return and refund of products for pre-paid Orders:
  - Refunds corresponding to the return of products purchased on a pre-paid basis from LOTS E-commerce Platforms, shall be credited back to the pre-paid mode/source only, unless the LOTS E-Wallet has been used to make part payment for the order.
  - If the LOTS E-Wallet balance was used to make part payment for the order along with pre-paid mode of payment, then the refund in case of returns shall be processed in order of priority i.e. first the refund will be processed to the source of pre-paid mode and the balance if any shall be processed to the LOTS E-Wallet. For instance, if an order is placed for a value of Rs. 1000/- where Rs. 500/- is paid via pre-paid mode and Rs. 500/- is paid via LOTS E-Wallet Refund Amount; in case of return of items worth Rs. 600, the refund of Rs. 500/- shall be processed back to the pre-paid mode/source and Rs. 100 shall be processed to the Refund Amount module of the LOTS E-Wallet.
3. The Refund Amount in the LOTS E-Wallet cannot be redeemed in cash or transferred to the LOTS E-Wallet holder’s bank account in India. The Refund Amount is personal to each LOTS E-Wallet Holder and may not be sold, transferred or assigned to others, or used for any unauthorized purpose.

Terms and Conditions for adding Cashback Credits
1. The Cashback Credits shall be applicable on limited time offers, schemes and promotions on LOTS E-Commerce Platforms and may be available for one-time use in the LOTS E-Wallet. The Cashback Credits shall stand added to the LOTS E-Wallet subject to the fulfillment of the applicable terms and conditions as communicated by LOTS from time to time. In case if the customer does not avail/use such promo cashback which is credited for a limited period for the purpose of redemption; LOTS reserves the right to roll back such credits upon expiry of such limited period and deduct the said amount from the total Refund Amount balance available in the LOTS E-Wallet of such customer. For customer reference; a “Cashback Debit” will reflect under “All Transactions” tab in the LOTS E- Wallet account. Additionally, if any variation is discovered in the cashback calculation by LOTS; a Cashback Debit entry will be passed to settle the difference of extra amount credited earlier at the discretion of LOTS. The terms and conditions will set out (amongst other things) the products to which, and the period for which, the Cashback Credits will apply. The Cashback Credits will reflect for utilization under Refund Amount module in the LOTS E-Wallet.
2. The Cashback Credits cannot be redeemed in cash or transferred to the LOTS E-Wallet holder’s bank account in India. The Cashback Credits once utilized shall not be refunded even in case of return/refund of items.

Expiry and forfeiture of LOTS E-Wallet Refund Amount

There shall be no expiry date for the Refund Amount and the same shall remain in the LOTS E-Wallet until the LOTS E-Wallet/registration account stays active, except the Cashback Credits that form part of the Refund Amount which may expire for utilization as per the terms and conditions applicable to such Credits as more clearly specified in clause IV(a) aforementioned above.
1. In the event of deactivation/termination of the LOTS E-Wallet Holders’ membership/registration, due to misleading, deceptive, illegal acts or omissions, attributable to the LOTS E-Wallet Holders, the Refund Amount in the LOTS E-Wallet shall stand forfeited. However, if the membership is suspended or deactivated due to failure to provide updated license/registration documents, and the LOTS E-Wallet Holder fails to activate the membership within the period as may be specified by LOTS, LOTS E-Wallet Holder may follow the process outlined below to claim the Refund Amount. If the LOTS E-Wallet Holder fails to claim the Refund Amount balance, such amount may stand forfeited.
2. Only in restricted scenarios as mentioned herein (i.e in case of fraudulent or erroneous transactions not invoked by LOTS E-Wallet holder, dispute in refund amount, failed transactions or termination of the LOTS E-Wallet holder’s business relationship with LOTS), subject to LOTS’ sole discretion, LOTS may permit LOTS E-Wallet Holders to transfer the Refund Amount balance into their bank account in India. This shall be subject to:
  - obtaining a written request from the LOTS E-Wallet Holder at contactus@cpwi.in; and
  - completion of KYC and other necessary checks as may be specified by LOTS from time to time, to the extent the LOTS E-Wallet Holder qualifies for a transfer of the Refund Amount back to their bank account in India.
3. The decision of LOTS in this regard shall be final and binding. Any other consequence of the LOTS E-Wallet Holder terminating their business relationship with LOTS shall be subject to sole discretion of LOTS.

Business Development Agent

LOTS may designate certain personnel to act as Business Development Agents
(“BDA”) and help hotel, restaurant and catering (“HoReCa”) customers that require assistance in placing online order of goods.Where a HoReCa customer so requires, BDAs may place an order for such customer using the BDA application that is accessible on the designated BDA’s personal device. In doing so, BDAs will select the mode(s) of payment preferred by the customer. If there is existing Refund Amount balance in such customer’s LOTS E-Wallet, it may be debited towards the purchase transaction. Further, if there are any available exclusive Cashback Credits’ applicable to the customer’s order, the BDA will communicate the same to the customer and the LOTS E-Wallet Holder may review such applied Cashback Credits under the ‘All transaction” tab available in the LOTS E-Wallet of such customer. To the extent any additional payment is required over and above the available the Refund Amount balance, the BDA shall notify the customer for payment of such additional amount which may be utilized using any other mode of payment (including COD) towards it. BDA will assist the customer in opting for the appropriate additional mode of payment and processing such payment towards the order.

General
1. LOTS E-Wallet Holders shall not use the LOTS E-Wallet in a way that is misleading or deceptive, or otherwise causes harm to LOTS or other LOTS E-Wallet holders. In the event LOTS is notified, suspects or becomes aware of the Refund Amount being obtained or used in violation of these Terms, LOTS reserves the right to forthwith, without prior notice, void the LOTS E-Wallet without a refund (including any Refund Amount) suspend or terminate LOTS E-Wallet Holder’s membership with LOTS as well as their ability to use the LOTS E-Commerce Platforms, cancel any order for which payment was initiated through the LOTS E-Wallet, and bill other modes of payment.
2. Under no circumstances shall LOTS be liable for any indirect, incidental, punitive, special or consequential damages incurred or suffered by LOTS E-Wallet Holder arising out of or in connection with these Terms, including without limitation lost revenue, loss of income, or loss of business advantage. LOTS does not make any representations or warranties, express or implied, including but not limited to any warranties of satisfactory quality, fitness for a particular purpose, no infringement and performance or otherwise arising out of any act or omission that is not attributable to LOTS. LOTS E-Wallet Holders agree that LOTS shall not be liable for any errors, delays, disputes, reversals or losses caused by third parties, including but not limited to any banking institution. Without prejudice to the generality of the preceding, LOTS will not be responsible for any Refund Amount that is lost or stolen or for any consequences due to the unauthorized use of the LOTS E-Wallet. Risk of loss and title for Refund Amount passes to the LOTS E-Wallet Holder upon electronic transmission to the LOTS E-Wallet Holder. LOTS E-Wallet Holders acknowledge and understand that the account login is linked to their mobile phone number and LOTS E-Wallet Holders shall be solely responsible for any liability arising out of the loss/theft/misuse of the mobile phone number.
3. LOTS E-Wallet Holders acknowledge and agree that LOTS shall have the right to amend these Terms at its sole discretion without giving any notice. Such amended Terms shall be effective immediately and any other terms and conditions agreed any time before such amendment shall stand null and void. LOTS E-Wallet Holders will abide by all the applicable laws, rules and / or regulations and keep LOTS indemniﬁed against any damage, loss and claims arising out of LOTS E-Wallet Holders’ negligent acts or omissions. LOTS E-Wallet Holders agree to be bound by these Terms and waive any right to claim ambiguity in these Terms.

LOTS E-Wallet Holders agree to indemnify and hold LOTS, its affiliates, contractors, employees, officers, directors, agents and its third party suppliers, and partners harmless from any and all claims, losses, damages, and liabilities, costs and expenses, including without limitation legal fees and expenses, arising out of or related to : (i) use or misuse of the LOTS E-Wallet; (ii) any violation of the Terms of using the LOTS E-Wallet; or (iii) any breach of the representations, warranties, and covenants made by the LOTS E-Wallet Holders.
6. These Terms shall be governed by the laws of India and any dispute pursuant hereto shall be subject to exclusive jurisdiction of courts at New Delhi.

You shall be responsible to ensure that the documents provided by you are valid and subsisting during the entire engagement with LOTS as registered member.

You hereby acknowledge and certify that the documents provided by you are authentic, true and accurate. In case of any misrepresentation, provided by you, you shall be solely liable and responsible and LOTS may take action as per applicable laws, including termination of your membership.

Upon receipt of any of the above mentioned documents and completion of verification thereof, LOTS shall issue a valid registration card for you (“Registration Card“) at its sole discretion. Also, to access the Website and/or LOTS App you will receive a username through an SMS on your registered mobile number. You are required to set your password, by clicking on ‘Generate Password’ tab displayed on the Website and/or LOTS App. LOTS reserves the right to reject a membership application without assigning any reason(s) either to an entity/person or any of its authorised representative. In case of failure to furnish and/or update valid business documents in your account for, inter alia, a) change in your authorized representative, b) change of ownership of your business, c) change of address or d) expiry of documents, LOTS reserves the right to take such necessary action as it may deem fit or terminate your registration forthwith at its sole discretion.

The order confirmation on the Website or on LOTS App is acknowledgement that LOTS has received your order, and does not confirm acceptance of your offer to buy the Product(s) ordered. LOTS only accepts your offer, and conclude the contract of sale for a Product ordered by you, when the Product is dispatched to you pursuant to an invoice raised by us and an e-mail confirmation is sent to you that the Product has been dispatched to you.
